01Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service.

02Account

You must provide accurate information when creating an account. You are responsible for all activity under your account. Keep your password confidential.

03Acceptable Use

You may not:

• Use the Service for illegal, fraudulent, or harmful purposes
• Violate any applicable law (including TCPA, GDPR, CCPA, telemarketing regulations)
• Transmit spam, robocalls, or unsolicited commercial messages
• Attempt to reverse engineer, scrape, or interfere with the Service
• Upload viruses, malware, or harmful code

We may suspend or terminate accounts for violations without refund.

04Your Content and Responsibilities

You retain ownership of any content you upload or input ("Your Content"). You grant Clepe a worldwide, royalty-free license to use, host, reproduce, modify (for formatting), and display Your Content solely to provide and improve the Service.

You are solely responsible for:

• Ensuring all outbound calls comply with applicable laws (consent, DNC lists, time-of-day rules, disclosure requirements, etc.)
• Obtaining all necessary consents and permissions before initiating calls
• The accuracy and legality of any knowledge base content or scripts you provide
• Any harm caused by your agents' behavior or decisions

05Our Proprietary Rights

The Service (code, models, UI, trademarks) is owned by Clepe or our licensors. Subject to these Terms we grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

06Paid Subscriptions and Billing

• All fees are non-refundable except as expressly stated.
• We may change pricing at any time with 30 days notice.
• You are responsible for all taxes.

07Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

08Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CLEPE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU TO CLEPE UNDER THESE TERMS IN THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

09Indemnification

You agree to indemnify, defend, and hold Clepe harmless from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your violation of any law or third-party rights
• Your Content
• Your use of the Service in violation of these Terms
• Any calls made or messages sent using your account

10Arbitration and Class Action Waiver

Any dispute arising out of or related to these Terms or the Service will be resolved by binding arbitration in Bangalore, India, under the rules of the Indian Attribution Association. You waive any right to participate in a class action lawsuit or class-wide arbitration. You may opt out of arbitration within 30 days of first accepting these Terms by emailing chat@clepe.ai with "Arbitration Opt-Out" in the subject line.

11Termination

We may terminate or suspend your account at any time for any reason, including suspected violation of these Terms. Upon termination you must stop using the Service. Sections 4, 5, 7, 8, 9, 10, 11, and 12 survive termination.

12Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13Changes

We may update these Terms. We will post the revised version and update the "Last updated" date. Continued use after changes constitutes acceptance.
